This Agreement governs the terms under which Advertiser will advertise on Microsoft Ads or other platforms subject to these terms.

1. Purpose of Agreement

The purpose of this Agreement is to outline the terms and conditions under which Advertiser will create, manage, and run advertising campaigns through Microsoft Ads or similar platforms. Advertiser agrees to comply with all applicable laws, platform policies, and guidelines during the course of this Agreement.

Advertiser agrees to notify Microsoft Ads or the relevant platform immediately if any of the above information changes.

3. Compliance with Microsoft Ads Policies

Advertiser agrees to comply with all Microsoft Ads policies, including but not limited to:

• Prohibited Content: Advertiser will not promote content that violates Microsoft Ads' prohibited content policies, including hate speech, discrimination, or illegal activities.
• Restricted Content: Advertiser will ensure that any restricted content, such as legal services, complies with all applicable restrictions and requirements.
• Landing Page Requirements: Advertiser's landing pages must provide a clear and accurate description of the advertised services, include contact information, and comply with all applicable laws and regulations.
• Intellectual Property: Advertiser will not infringe on any third-party intellectual property rights in its advertisements or landing pages.

Failure to comply with these policies may result in the suspension or termination of Advertiser's account.

4. Payment Terms

Advertiser agrees to pay for all advertising costs incurred through Microsoft Ads or other platforms in accordance with the payment terms outlined by the platform. Payments will be processed through the payment method provided by Advertiser during account setup. Advertiser is responsible for ensuring that all billing information is accurate and up-to-date.

5. Indemnification

Advertiser agrees to indemnify, defend, and hold harmless Microsoft Ads, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Advertiser's breach of this Agreement;
• Advertiser's violation of any law, regulation, or third-party rights;
• Any content or materials provided by Advertiser in connection with the advertising campaign.

6. Limitation of Liability

In no event shall Microsoft Ads or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or related to this Agreement. Advertiser acknowledges that Microsoft Ads does not guarantee specific results from advertising campaigns.

7. Termination

This Agreement may be terminated by either party at any time, with or without cause. Upon termination, Advertiser will remain responsible for all advertising costs incurred prior to the termination date. Microsoft Ads reserves the right to suspend or terminate Advertiser's account immediately if Advertiser violates any terms of this Agreement or platform policies.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any disputes arising under or related to this Agreement shall be resolved exclusively in the courts located in Cook County, Illinois.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral. This Agreement may only be amended in writing signed by both parties.

10. Acknowledgment

By accepting this Agreement, Advertiser acknowledges that it has read, understood, and agrees to be bound by the terms and conditions set forth herein. Advertiser further acknowledges that it has reviewed and understands the Microsoft Ads policies and agrees to comply with them.
